By accessing and using Q-Intercept's quantum computing platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

2. Description of Service

Q-Intercept provides a quantum computing platform that includes:

  • Access to quantum computing resources through our Qi intelligence layer
  • Quantum circuit design and simulation tools
  • Integration with multiple quantum hardware providers
  • Quantum-classical hybrid computing capabilities
  • Educational resources and documentation

3. User Accounts

To access certain features of the Service, you must register for an account. When you register for an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover or suspect any security breaches
  • Take responsibility for all activities that occur under your account

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe upon the rights of others
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service for cryptocurrency mining without explicit permission
  • Transmit any malicious code or viruses
  • Use excessive computational resources that negatively impact other users

5. Quantum Computing Resources

Usage of quantum computing resources is subject to:

  • Fair use policies based on your subscription tier
  • Monthly quantum minute allocations
  • Priority queuing based on subscription level
  • Potential wait times during peak usage

We reserve the right to suspend or limit access to quantum resources for users who violate fair use policies.

6. Payment Terms

For paid subscription plans:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change subscription fees with 30 days notice
  • Failure to pay may result in suspension or termination of your account

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Q-Intercept and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the quantum circuits and algorithms you create using our Service. However, you grant us a license to use, store, and process your content as necessary to provide the Service.

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of personal information as outlined in the Privacy Policy.

9. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Q-INTERCEPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

10. Indemnification

You agree to indemnify and hold harmless Q-Intercept and its officers, directors, employees, and agents from any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes at least 30 days before they take effect.
